Registo
A Parte em cujo território seja assinado este Acordo deverá submetê-lo para registo junto do Secretariado das Nações Unidas após a sua entrada em vigor, nos termos do artigo 102.º da Carta das Nações Unidas, devendo notificar a outra Parte da conclusão deste procedimento e indicar-lhe o número de registo atribuído.
(1) No caso da República Portuguesa, esses objetivos incluem as medidas adotadas, mantidas e executadas pela UE.
(2) Para evitar qualquer ambiguidade de interpretação, as Partes entendem que o termo «medidas» inclui a omissão.
(3) «Para evitar qualquer ambiguidade de interpretação, para a República Portuguesa, o termo 'direito interno' inclui 'direito europeu'.»
Feito em duplicado, em Abijan, no dia 13 de junho de 2019, nas línguas portuguesa, francesa e inglesa, fazendo todos os textos igualmente fé. Em caso de divergência de interpretação prevalecerá a versão inglesa.
Em fé do que os signatários, devidamente autorizados para o efeito pelos respetivos Governos, assinaram o presente Acordo.

ACCORD ENTRE LA REPUBLIQUE PORTUGAISE ET LA REPUBLIQUE DE CÔTE D'IVOIRE SUR LA PROMOTION ET LA PROTECTION RECIPROQUES DES INVESTISSEMENTS
La République Portugaise et la République de Côte d'Ivoire, ci-après dénommées «les Parties»:
Désireuses d'intensifier la coopération économique entre les deux États;
Dans l'intention de créer des conditions favorables pour des investissements réalisés par des investisseurs d'une Partie sur le territoire de l'autre Partie basées sur les principes de l'égalité et du bénéfice mutuel;
Reconnaissant que la promotion et la protection réciproques des investissements en vertu de cet Accord contribuent à la stimulation du développement économique soutenable dans les deux États;
Réaffirmant les obligations et engagements internationaux concernant le respect des droits humains;
S'étant engagés à atteindre ces objectifs de manière cohérente pour assurer la protection de la santé, de la sécurité et de l'environnement, ainsi que la promotion des normes du travail internationalement reconnues:
Sont convenus de ce qui suit:
CHAPITRE I
Dispositions generales
Article 1
Objet
Cet Accord a pour objet de définir un ensemble de principes et de règles pour la promotion et la protection réciproques des investissements que les Parties doivent accorder aux investisseurs et aux investissements réalisés ou à réaliser sur le territoire de l'autre Partie.
Article 2
Champ d'application
Cet Accord s'applique à tous les investissements réalisés par des investisseurs de l'une ou l'autre Partie sur le territoire de l'autre Partie, qu'ils aient été réalisés avant ou après son entrée en vigueur, en conformité avec le droit qui lui est applicable, mais ne s'applique pas aux différends portant sur des faits survenus avant son entrée en vigueur.
Article 3
Définitions
Aux fins de cet Accord, on entend par:
i) «Investissement»: tout type d'actif détenu ou contrôlé, directement ou indirectement, par des investisseurs d'une Partie sur le territoire de l'autre Partie, conformément au droit en vigueur dans cette dernière présentant les caractéristiques d'un investissement, telles que l'engagement de capitaux ou d'autres ressources, l'attente de gains ou de profits, ou l'acceptation du risque, et inclut plus particulièrement, mais non exclusivement:
a) Les biens meubles et immeubles, ainsi que tous les autres droits réels tels que les hypothèques, privilèges et gages;
b) Les actions, titres et obligations non garanties d'une entreprise ou autres formes de participation au capital d'une entreprise, ainsi que d'autres formes de participation à l'entreprise et/ou des intérêts économiques découlant de l'activité respective;
c) Les créances ou toute autre prestation ayant une valeur économique;
d) Les droits de propriété intellectuelle, tels que les droits d'auteur, les brevets d'invention, les modèles d'utilité, les dessins industriels, les marques, les noms commerciaux, les secrets commerciaux et industriels, les procédés techniques, le savoir-faire et le «goodwill»;
e) Les concessions accordées par la loi ou en vertu d'un contrat ou d'une décision administrative émanant d'une autorité publique compétente, y compris les concessions relatives à la recherche, l'extraction ou l'exploitation de ressources naturelles;
f) Les actifs mis à la disposition du locataire dans le cadre d'un contrat de location, sur le territoire d'une Partie, conformément à la législation de celle-ci.
L'investissement n'inclut pas la dette publique émise par l'une des Parties ou par une entité publique d'une Partie;
Aucune modification de la forme d'investissement des avoirs n'affecte leur qualification d'investissement, à condition que cette modification ne soit pas contraire à la législation de la Partie sur le territoire de laquelle les investissements sont réalisés;
ii) «Investisseur»: toute personne d'une Partie qui investit sur le territoire de l'autre Partie, conformément au droit qui lui est applicable, et qui peut être:
a) Une «personne physique» possédant la nationalité de l'une ou l'autre Partie, conformément à leur législation respective; ou
b) Une «personne morale», une entité dotée de la personnalité juridique possédant son siège de direction effective sur le territoire d'une Partie et établie ou constituée conformément au droit en vigueur dans celle-ci, comme les sociétés commerciales, les compagnies, les fondations et les associations;
iii) «Revenus»: les sommes produites par un investissement durant une période donnée, y compris, plus particulièrement, mais non exclusivement, les profits, les dividendes, les intérêts, les redevances, des paiements reçus au titre d'assistance technique ou d'autres types de revenus provenant de l'investissement, et:
a) En cas de réinvestissement des revenus de l'investissement couverts par la définition ci-dessus, les revenus de leur réinvestissement sont aussi considérés comme des revenus du premier investissement;
b) Les revenus de l'investissement jouissent de la même protection que l'investissement;
iv) «Territoire»: le territoire sur lequel les Parties exercent, en conformité avec le droit international et leur droit national, des droits souverains ou une juridiction, y compris le territoire terrestre, la mer territoriale et l'espace aérien au-dessus d'eux, ainsi que les zones maritimes adjacentes à la mer territoriale, son lit et sous-sol;
v) «Mesure»: une loi, un règlement, une norme, une procédure, une décision, une action administrative, une condition ou tout autre type de pratique utilisé par une Partie;
vi) «Raisons prudentielles»: le fait d'assurer l'intégrité et la stabilité du système financier, ainsi que de maintenir la sécurité, la solidité, l'intégrité ou la responsabilité financière des différentes institutions financières, et de préserver la sécurité aussi bien que l'intégrité financière et opérationnelle des systèmes de paiement et de compensation.
Article 4
Promotion et admission des investissements
1 - Chaque Partie encourage les investissements réalisés par des investisseurs de l'autre Partie sur son territoire et admet ces investissements conformément à sa législation.
2 - Les Parties assureront, dans le cadre de leur législation interne, un traitement bienveillant et rapide des demandes d'entrée et d'autorisation de séjour sur leur territoire, au titre des investissements réalisés par les investisseurs d'une Partie sur le territoire de l'autre Partie.
Article 5
Protection des investissements
1 - Chaque Partie accorde, sur son territoire, aux investissements visés de l'autre Partie et aux investisseurs en ce qui concerne leurs investissements visés, un traitement juste et équitable ainsi qu'une protection et une sécurité pleines et entières conformément aux paragraphes 2 à 6.
2 - Une Partie viole l'obligation d'accorder un traitement juste et équitable prévue au paragraphe 1 lorsqu'une mesure ou une série de mesures constitue:
a) Un déni de justice dans les procédures pénales, civiles ou administratives; ou
b) Une violation fondamentale du principe de l'application régulière de la loi, y compris une violation fondamentale de la transparence et des obstacles à l'accès effectif à la justice, dans les procédures judiciaires et administratives; ou
c) Des situations d'arbitraire manifeste; ou
d) Discrimination ciblée sur la base de motifs manifestement injustifiés, tels que le sexe, la race ou les convictions religieuses; ou
e) Le harcèlement, la coercition, l'abus de pouvoir ou une conduite de mauvaise foi similaire.
3 - Lorsqu'il applique l'obligation d'accorder un traitement juste et équitable précitée, un tribunal peut tenir compte du fait qu'une Partie a fait ou non des déclarations spécifiques à un investisseur en vue d'encourager un investissement, lesquelles ont créé une attente légitime et motivée, et sur lesquelles l'investisseur a fondé sa décision d'effectuer ou de maintenir l'investissement, mais auxquelles la Partie n'a pas donné suite.
4 - Pour éviter toute ambiguïté, il est entendu qu'une protection et une sécurité pleines et entières' fait référence aux obligations de la Partie en ce qui concerne la sécurité physique des investisseurs et des investissements.
5 - Aucune des Parties n'entravera pas, par des mesures déraisonnables, arbitraires ou discriminatoires, la gestion, le maintien, l'utilisation, la jouissance ou la disposition des investissements qui sont réalisés sur son territoire par des investisseurs de l'autre Partie.
6 - Pour éviter toute ambiguïté, il est entendu qu'une violation d'une autre disposition de cet Accord ou de tout autre accord international ne constitue pas une violation du présent article.
Article 6
Droit de réglementer
1 - Chaque Partie conserve le droit d'adopter, de maintenir et d'appliquer les mesures nécessaires pour poursuivre des objectifs (1) politiques légitimes, comme la protection de la société, de l'environnement et de la santé publique, ainsi que la protection des consommateurs, la préservation de l'intégrité et de la stabilité du système financier, la promotion de la sécurité et sûreté publique, ou la promotion et la protection de la diversité culturelle.
2 - Pour éviter toute ambiguïté, il est entendu que le simple fait qu'une Partie réglemente, notamment par la modification de ses lois, d'une manière qui a des effets défavorables sur un investissement ou qui interfère avec les attentes d'un investisseur, y compris ses attentes de profit, ne constitue pas une violation d'une obligation prévue dans cet Accord.
3 - Rien dans cet Accord ne peut empêcher une Partie d'adopter ou de maintenir des mesures raisonnables pour des raisons prudentielles, y compris:
a) La protection des investisseurs, des déposants, des détenteurs de police d'assurance, des demandeurs, ainsi que des participants au marché financier, ou des personnes à qui un droit de garde est dû par une institution financière;
b) Le maintien de la sécurité, de la solvabilité, de l'intégrité ou de la responsabilité financière des institutions financières;
c) La préservation de l'intégrité et de la stabilité du système financier d'une Partie.
4 - Pour éviter toute ambiguïté, et sous réserve du paragraphe 5, il est entendu que la décision d'une Partie de ne pas octroyer, renouveler ou maintenir une subvention:
a) En l'absence de tout engagement légal ou contractuel spécifique d'octroyer, de renouveler ou de maintenir cette subvention; ou
b) Conformément aux modalités ou conditions régissant l'octroi, le renouvellement ou le maintien de la subvention,
ne constitue pas une violation des dispositions de cet Accord.
5 - Une Partie ne peut être empêchée de mettre fin à l'octroi d'une subvention et/ou de demander son remboursement, ni être obligée à indemniser l'investisseur en conséquence, lorsqu'une telle mesure a été ordonnée par une de ses autorités compétentes.
Article 7
Traitement national
Chaque Partie applique, sur son territoire, aux investisseurs de l'autre Partie, en ce qui concerne la gestion, la jouissance, le maintien, l'utilisation ou la disposition de leurs investissements, un traitement non moins favorable que celui qu'elle accorde à ses propres investisseurs et leurs investissements.
Article 8
Traitement de la nation la plus favorisée
1 - Aucune des Parties ne soumettra, sur son territoire, les investisseurs de l'autre Partie, en ce qui concerne la gestion, la jouissance, le maintien, l'utilisation ou la disposition de leurs investissements, à un traitement non moins favorable que celui qu'elle accorde aux investisseurs et à leurs investissements d'un État tiers.
2 - Pour éviter toute ambiguïté, il est entendu que le traitement mentionné au paragraphe 1 n'englobe pas les procédures de règlement des différends entre investisseurs et États prévues dans d'autres traités internationaux sur l'investissement et dans d'autres accords commerciaux. Les obligations substantielles contenues dans d'autres traités internationaux sur l'investissement et dans d'autres accords commerciaux ne constituent pas en elles-mêmes un «traitement», et par conséquent ne peuvent pas donner lieu à une violation du présent article, en l'absence de mesures (2) adoptées par une Partie au titre de ces obligations.
Article 9
Exceptions
1 - Aucune disposition de cet Accord ne peut être interprétée comme empêchant une Partie de remplir ses obligations en tant que membre d'un accord d'intégration économique comme une zone de libre-échange, une union douanière, un marché commun, une communauté économique, une union monétaire, ou un accord international similaire tel que l'Union européenne, ou comme obligeant une Partie à étendre aux investisseurs de l'autre Partie et à leurs investissements, le bénéfice présent ou futur de tout traitement, préférence ou privilège en vertu d'un tel accord auquel elle est partie.
2 - Les dispositions des articles 7 et 8 ne peuvent pas être interprétées comme obligeant une Partie à étendre aux investisseurs de l'autre Partie le bénéfice de tout traitement, préférence ou privilège qui pourrait résulter d'accords bilatéraux ou multilatéraux ayant ou non un caractère régional et concernant la fiscalité, notamment ceux dont l'objectif est d'éviter la double imposition.
3 - Les Parties considèrent que les dispositions de cet Accord ne portent pas atteinte au droit qu'elles ont d'appliquer les dispositions pertinentes de leur droit fiscal qui établissent une distinction entre les contribuables qui ne se trouvent pas dans la même situation en ce qui concerne leur résidence ou le lieu où leurs capitaux sont investis.
Article 10
Application d'autres règles
1 - Si des dispositions juridiques de l'une ou l'autre Partie, ou des obligations découlant du droit international, comportent des règles, générales ou spécifiques, accordant aux investissements des investisseurs de l'autre Partie un traitement plus favorable que celui prévu par cet Accord, ces règles prévalent.
2 - Chaque Partie doit respecter toute autre obligation qu'elle a pu contracter à l'égard des investissements réalisés sur son territoire par les investisseurs de l'autre Partie et qui n'est pas incluse dans cet Accord.
Article 11
Expropriation
1 - Les investissements réalisés par les investisseurs de l'une ou l'autre Partie sur le territoire de l'autre Partie ne seront pas expropriés, directement ou indirectement, nationalisés ou soumis à toute autre mesure entraînant des effets équivalents à une nationalisation ou expropriation (ci-après désignée «expropriation»), sauf pour cause d'utilité publique, sur une base non discriminatoire et moyennant le paiement d'une indemnité prompte, adéquate et effective, conformément à la loi applicable.
2 - L'indemnité mentionnée au paragraphe précédent équivaut à la valeur réelle de l'investissement exproprié immédiatement avant l'expropriation ou avant que l'expropriation imminente ne soit rendue publique, selon ce qui survient en premier, en prenant en compte ce qui suit:
a) La valeur réelle équivaut à la valeur de marché ou à toute autre valeur déterminée selon les principes et méthodes d'évaluation légaux ou généralement reconnus pour les investissements concernés;
b) L'indemnité comporte des intérêts à un taux convenu entre l'investisseur et l'État hôte ou, en l'absence d'un tel accord, à un taux commercial fixé dans les conditions du marché pour la monnaie de paiement, calculés entre la date de l'expropriation et la date du paiement définitif;
c) L'indemnité prévue à cet article est versée sans retard, effectivement réalisable et librement transférable dans une monnaie convertible au taux de change applicable à la date du transfert sur le territoire de la Partie à partir duquel l'investissement a été réalisé.
3 - Tout investisseur dont l'investissement a été exproprié a droit, dans le cadre de la loi de la Partie qui procède à l'expropriation, à un prompt réexamen, par une autorité judiciaire ou une autre autorité compétente de cette Partie, de son cas, et de l'évaluation de son ou ses investissements, conformément aux principes établis dans cet article.
4 - Sauf lorsqu'une mesure ou une série de mesures s'avèrent manifestement excessives, l'adoption par une Partie de mesures non discriminatoires d'application générale visant à protéger des objectifs d'intérêt public légitimes, tels que la protection de la société, de l'environnement et de la santé publique, ainsi que la préservation de l'intégrité et de la stabilité du système financier, la promotion de la sécurité et sûreté publique, ou la promotion et la protection de la diversité culturelle, ne constituent pas une expropriation indirecte.
Article 12
Compensation pour pertes
1 - Les investisseurs d'une Partie dont les investissements subissent des pertes sur le territoire de l'autre Partie dues à la guerre ou à tout autre conflit armé, révolution, état d'urgence national ou d'autres événements similaires conformément au droit international, bénéficieront de la part de cette dernière, en ce qui concerne la restitution, la compensation, l'indemnisation ou d'autres facteurs pertinents, d'un traitement non moins favorable que celui qu'elle accorde aux investissements de ses propres investisseurs ou à ceux d'investisseurs de tout État tiers, suivant celui des deux traitements qui est le plus favorable.
2 - Sans préjudice du paragraphe 1 de cet article, les investisseurs d'une Partie qui, dans l'une des situations mentionnées à ce paragraphe, subissent des pertes sur le territoire de l'autre Partie résultant de la réquisition ou de la destruction de leurs investissements par les autorités de cette Partie, qui ne résultait pas de combats ou que les circonstances ne rendaient pas nécessaire, se verront accorder par cette autre Partie une restitution, une compensation, une indemnisation ou toute autre forme de réparation dans des conditions non moins favorables que celles qu'elle accorde à ses propres investisseurs ou aux investisseurs de tout État tiers.
3 - Les paiements prévus dans cet article sont effectués librement et sans retard dans une monnaie convertible au taux de change applicable à la date du transfert sur le territoire de la Partie à partir duquel l'investissement est réalisé.
4 - En cas de restitution d'un bien meuble, celui-ci doit être restitué dans un délai raisonnable, à la fin duquel l'indemnisation doit être faite conformément au paragraphe précédent.
Article 13
Transferts
1 - Chaque Partie assure aux investisseurs de l'autre Partie, dans le cadre du droit qui lui est applicable, le libre transfert des paiements relatifs aux investissements et, plus particulièrement, mais non exclusivement:
a) Le capital initial et les montants supplémentaires nécessaires au maintien ou au développement des investissements;
b) Les revenus définis au iii) de l'article 3 de cet Accord;
c) Les sommes nécessaires à la prestation de services, au remboursement et à l'amortissement des prêts considérés par les deux Parties comme des investissements;
d) Le produit de la liquidation totale ou partielle, ou de la vente des investissements;
e) Les indemnisations ou autres paiements mentionnés aux articles 11 et 12 de cet Accord;
f) Tout paiement préliminaire effectué au nom de l'investisseur, conformément à l'article 14 de cet Accord;
g) Les rémunérations des travailleurs étrangers dûment autorisés à travailler dans le cadre de l'investissement réalisé sur le territoire de l'autre Partie.
2 - Les transferts prévus à cet article sont effectués sans retard en monnaie convertible au taux de change applicable à la date du transfert sur le territoire de la Partie à partir duquel le transfert est réalisé.
3 - En l'absence d'un marché de change, le taux à utiliser est le taux de change le plus récent pour la conversion des monnaies en droits de tirage spéciaux tel que défini par le Fonds monétaire international.
4 - Aux fins de cet article, un transfert est réalisé «sans retard», lorsqu'il est effectué dans le temps habituellement nécessaire pour l'exécution des formalités indispensables, qui ne pourront en aucun cas dépasser trente (30) jours à compter de la date de la demande de transfert.
5 - Si le transfert n'est pas effectué dans le délai fixé au paragraphe précédent, la Partie défaillante devra payer des intérêts au taux commercial en vigueur ou, en son absence, au taux normalement applicable sur le territoire de la Partie à partir duquel l'investissement est réalisé, sans préjudice du droit d'utiliser les mécanismes de règlement des différends prévus dans cet Accord.
6 - Rien dans cet article ne peut être interprété comme empêchant une Partie d'appliquer, d'une manière équitable et non discriminatoire, et qui ne constitue pas une restriction déguisée aux transferts:
a) Ses lois et règlements concernant:
i) La faillite, l'insolvabilité, la restructuration, la récupération, la revitalisation ou la protection des droits des créanciers ou des travailleurs;
ii) L'émission, le négoce et le commerce des valeurs mobilières, futures, options et dérivés;
iii) Les infractions pénales et administratives, ainsi que les règles de la procédure pénale, notamment celles relatives au gel des avoirs ou à la preuve;
iv) La prévention du blanchissement d'argent ou du financement du terrorisme sur la base des déclarations ou des registres de transfert;
v) Les déclarations ou registres de transfert;
vi) Les obligations fiscales et les obligations en matière de sécurité sociale; ou
b) Arrêtés, mandats, injonctions ou jugements à l'issue des procédures administratives et contentieuses.
Article 14
Subrogation
Si une Partie ou une agence désignée par elle effectue un paiement en vertu d'une garantie donnée pour un investissement réalisé par un de ses investisseurs sur le territoire de l'autre Partie, elle peut exercer ces droits et réclamer ces créances, par voie de subrogation, dans les mêmes conditions que le premier investisseur.
Article 15
Transparence
1 - Chaque Partie publie ou met à la disposition du public d'une autre manière, dans les moindres délais, ses lois, règlements, procédures et accords internationaux pouvant affecter les investisseurs et les investissements couverts par cet Accord.
2 - Chaque Partie répond promptement à des questions spécifiques et fournit, sur demande, à l'autre Partie des renseignements sur toutes les mesures et matières couvertes par cet Accord.
3 - Aucune Partie est obligée de fournir ou de permettre l'accès à des informations concernant des investisseurs ou des investissements particuliers, dont la divulgation ferait obstacle à l'application de la loi ou serait contraire à ses lois et règlements protégeant la confidentialité.
Article 16
Mesures concernant l'environnement, la santé et les droits du travail
Les Parties reconnaissent qu'il n'est pas approprié d'encourager l'investissement sur leurs territoires en abaissant leurs normes qui se rapportent à l'environnement, à la santé ou aux normes du travail.
Article 17
Responsabilité sociale des entreprises
Chaque Partie encourage les investisseurs opérant sur leur territoire ou soumis à sa juridiction à intégrer volontairement dans leurs activités les normes de responsabilité sociale des entreprises internationalement reconnues, telles que les principes directeurs de l'OCDE (Organisation de Coopération et de Développement Économiques) à l'intention des entreprises multinationales.
CHAPITRE II
Règlement des differends
Article 18
Droit applicable
1 - Un tribunal établi en vertu de ce chapitre tranche le différend en conformité avec cet Accord, les règles et principes du droit International.
2 - Le tribunal n'est pas compétent pour apprécier la légalité d'une mesure prétendument constitutive d'une violation de cet Accord, selon le droit interne (3) de la Partie au différend. Pour éviter toute ambiguïté, il est entendu qu'en appréciant la cohérence entre une mesure et cet Accord, en cas de besoin, le tribunal peut considérer le droit interne de la Partie au différend comme étant une question de fait. Et ce faisant, le tribunal suit l'interprétation actuelle donnée au droit interne par les tribunaux ou les autorités de cette Partie, et tout sens que le tribunal donne au droit interne ne lie ni les tribunaux ni les autorités de cette Partie.
SECTION I
Différends entre les Parties
Article 19
Champ d'action et statut
1 - Les différends entre les Parties concernant l'interprétation et l'application de cet Accord sont, autant que possible, réglés par des négociations par la voie diplomatique.
2 - Si dans un délai de six (6) mois à compter de la date du début des négociations, le différend n'est pas réglé, il peut, à la demande écrite de l'une ou l'autre Partie, transmise par la voie diplomatique, être soumis à un tribunal d'arbitrage ad hoc, lequel sera composé comme suit.
3 - Le tribunal se compose de trois (3) arbitres qui sont nommés comme suit:
a) Chaque Partie nomme un arbitre dans un délai de deux (2) mois à compter de la réception de la demande écrite d'arbitrage;
b) Dans le délai d'un mois à compter de leur nomination, les deux arbitres ainsi nommés choisissent conjointement un ressortissant d'un Etat tiers avec lequel les deux Parties entretiennent des relations diplomatiques pour exercer les fonctions de président du tribunal.
4 - Si les nominations nécessaires n'ont pas été effectuées dans les délais fixés au paragraphe 3 de cet article, l'une ou l'autre Partie peut, en l'absence de tout autre accord, inviter le président de la Cour Internationale de Justice à procéder à ces nominations.
5 - Si le président est empêché d'exercer ladite fonction ou s'il est ressortissant de l'une ou l'autre Partie, le vice-président de la Cour est invité à procéder aux nominations nécessaires.
6 - Si le vice-président est à son tour empêché d'exercer ladite fonction ou s'il est ressortissant de l'une ou l'autre Partie, le membre le plus ancien de la Cour qui n'est pas empêché d'exercer ladite fonction et qui n'est pas ressortissant d'aucune des Parties est invité à procéder aux nominations nécessaires.
7 - Le tribunal fixe lui-même son règlement de procédure.
8 - Le tribunal prend ses décisions à la majorité des voix et ses décisions sont définitives et exécutoires de plein droit pour les deux Parties.
9 - En cas de désaccord sur le sens et la portée de la décision, le tribunal l'interprète à la demande de l'une ou l'autre Partie.
10 - Chaque Partie prend en charge les frais de l'arbitre qu'elle a nommé, ainsi que les frais de sa représentation à la procédure arbitrale.
11 - Les frais du président et les autres dépenses sont répartis à parts égales entre les deux Parties.
12 - Le tribunal peut décider de fixer une autre répartition des frais.
SECTION II
Différends entre une Partie et un investisseur de l'autre Partie
Article 20
Modes de règlement
1 - Tout différend survenant entre un investisseur d'une Partie et l'autre Partie au titre d'un investissement réalisé par le premier sur le territoire de la seconde sera, dans la mesure du possible, réglé à l'amiable.
2 - Si dans un délai de six (6) mois à compter de la date du début des négociations un tel différend n'a pas pu être réglé conformément au paragraphe 1 de cet article, l'investisseur peut le soumettre:
a) Aux tribunaux nationaux de la Partie sur le territoire de laquelle l'investissement a été réalisé;
b) Au Centre international pour le règlement des différends relatifs aux investissements (CIRDI) pour le règlement par voie de conciliation et d'arbitrage, établi conformément à la Convention pour le règlement des différends relatifs aux investissements entre États et ressortissants d'autres États, ouverte à la signature à Washington DC le 18 mars 1965 (Convention CIRDI), à la condition que les Parties à cet Accord soient toutes deux parties à la Convention CIRDI;
c) Au CIRDI en vertu des règles régissant le Mécanisme supplémentaire pour l'administration de procédures par le secrétariat du CIRDI, si une Partie à cet Accord, mais non les deux, est partie à la Convention CIRDI;
d) A un tribunal arbitral ad hoc désigné en vertu d'un accord spécial entre les Parties ou établi conformément au règlement d'arbitrage de la Commission des Nations Unies pour le droit commercial international (CNUDCI), selon lequel en cas de désaccord entre les Parties, la nomination de l'arbitre qui exercera les fonctions de président du tribunal sera faite par le secrétaire général de la Cour permanente d'arbitrage;
e) A un arbitre unique ou à un tribunal arbitral ad hoc établi selon les règles d'arbitrage de la Chambre de Commerce Internationale; ou
f) A toute autre instance arbitrale, ou conformément à tout autre règlement d'arbitrage, à condition que l'État partie au différend y donne son consentement exprès.
3 - Un différend peut être soumis au plus tard cinq (5) ans à compter de la date à laquelle l'investisseur a pour la première fois eu ou aurait dû avoir connaissance des événements à l'origine du différend.
4 - Chaque Partie donne par le présent son consentement pour soumettre un différend à l'arbitrage international mentionné au paragraphe 2 de cet article, nonobstant les alinéas d) et f).
5 - En cas de plusieurs plaignants, pour ce qui est de la consolidation des plaintes, il n'y a pas de présomption de consentement.
6 - Sans préjudice du paragraphe 7, la décision de soumettre le différend à une des procédures mentionnées au paragraphe 2 exclut la possibilité de soumettre la plainte à d'autres modes de règlement mentionnés à ce paragraphe.
7 - Chaque fois que l'investisseur décide de régler le différend devant les tribunaux nationaux de la Partie sur le territoire de laquelle l'investissement a été réalisé, et si aucune décision finale a été rendue sur le fond de l'affaire, l'investisseur peut choisir de mettre fin à la procédure nationale et de soumettre le différend à toute forme d'arbitrage international mentionnée au paragraphe 2 de cet article en notifiant le tribunal national de cette décision.
8 - La soumission du différend à toute forme d'arbitrage international conformément au paragraphe 7 doit être faite dans un délai de deux (2) ans à compter de la date à laquelle l'investisseur désiste de la plainte déposée auprès des tribunaux nationaux et, en tout cas, au plus tard dix (10) ans à compter de la date à laquelle l'investisseur a pour la première fois eu ou aurait dû avoir connaissance des événements à l'origine du différend.
9 - L'État partie au différend ne soulèvera d'objection, à aucun stade de la procédure, du fait que l'investisseur aurait perçu une indemnité couvrant tout ou partie de ses pertes en exécution d'un contrat d'assurance.
10 - Pour éviter toute ambiguïté, il est entendu qu'un investisseur ne peut pas soumettre une plainte à l'arbitrage aux termes de cet article lorsque l'investissement a été fait au moyen de déclarations frauduleuses, de dissimulation, de corruption ou d'une conduite équivalant à un abus de procès.
11 - L'État partie au différend peut invoquer l'exception de litispendance, que la cour ou le tribunal sont tenus d'accueillir.
12 - Le Règlement de la CNUDCI sur la transparence dans l'arbitrage entre investisseurs et États fondé sur des traités doit être appliqué à toutes les procédures d'arbitrage international entamées dans le cadre de cet article.
13 - Si la plainte est jugée frivole par le tribunal, celui-ci condamne le plaignant au paiement des frais jugés justifiés.
Article 21
Lieu de l'arbitrage
1 - A la demande d'une des Parties au différend, tout arbitrage dans le cadre de cette Section a lieu dans un État partie à la Convention pour la reconnaissance et l'exécution des sentences arbitrales signée à New York le 10 juin 1958.
2 - Les plaintes soumises à l'arbitrage dans le cadre de cette section sont considérées comme découlant d'une relation ou transaction commerciale aux fins de l'article 1 de la Convention de New York.
Article 22
Qualifications des arbitres
Les arbitres nommés conformément à cette section doivent avoir des compétences ou de l'expérience en droit international public, en particulier en droit international des investissements. Il serait souhaitable qu'ils aient des compétences ou de l'expérience en matière de règlement de différends découlant des accords internationaux d'investissement.
Article 23
Principes, obligations et règles de conduite
1 - Les arbitres, leur personnel et assistants sont indépendants du plaignant, de l'État hôte ou du gouvernement d'une Partie, ne doivent pas être affiliés à eux, ni recevoir d'instructions d'eux en ce qui concerne les questions liées à l'investissement. Les arbitres ne doivent pas accepter d'instructions d'une organisation, d'un gouvernement ou d'une Partie au différend en ce qui concerne les questions liées au différend. Ils ne doivent pas participer à l'examen de tout différend qui pourrait créer un conflit d'intérêts direct ou indirect. Et ce faisant ils se conforment aux lignes directives de l'Association Internationale du Barreau sur les conflits d'intérêts dans l'arbitrage international.
2 - Si une Partie au différend considère qu'un arbitre a un conflit d'intérêts, elle communique la notification de la récusation au Secrétaire général de la Cour permanente d'Arbitrage. La notification de la récusation est communiquée dans un délai de 15 jours à compter de la date à laquelle le tribunal est pleinement constitué ou de la date à laquelle les faits pertinents ont été portés à la connaissance de la Partie au différend, si ces faits ne pouvaient raisonnablement être connus avant la composition du tribunal. La notification de la récusation doit contenir les motifs de la récusation.
3 - La décision relative à toute proposition de récusation d'un arbitre doit être prise dans un délai de 45 jours à compter de la date de réception de la notification de la récusation, à condition que les deux Parties au différend et l'arbitre aient eu la possibilité de présenter leurs observations.
4 - Une vacance résultant de la récusation ou de la démission d'un arbitre est remplie sans délai.
Article 24
Sentences et exécution
1 - Les sentences sont exécutoires, mais peuvent faire l'objet d'un appel ou de toute autre procédure de réexamen uniquement dans la mesure où cela est prévu par la loi et les règles applicables.
2 - Une fois la procédure terminée et en cas de non respect de la sentence, les Parties peuvent exceptionnellement poursuivre le différend par la voie diplomatique afin de garantir l'exécution de ladite sentence.
3 - Chaque Partie assure, sur son territoire, l'exécution effective des sentences arbitrales.
Article 25
Mécanismes multilatéraux de règlement des différends
1 - Après l'entrée en vigueur d'un accord international prévoyant la création d'un tribunal multilatéral des investissements et/ou d'un mécanisme multilatéral d'appel applicable aux différends dans le cadre de cet Accord, les parties pertinentes de cet Accord cessent d'être applicables par accord des deux Parties.
2 - Nonobstant le paragraphe précédent, les investisseurs peuvent soumettre le différend aux tribunaux nationaux compétents de la Partie sur le territoire de laquelle l'investissement a été réalisé.
3 - Les nouvelles règles du mécanisme multilatéral de règlement des différends prévues au paragraphe 1 ne s'appliquent pas aux différends qui ont déjà été soumis en vertu de l'article 19, paragraphe 2, sauf si les Parties au différend en décident autrement.
CHAPITRE III
Dispositions finales
Article 26
Consultations
Chaque fois qu'elles le jugent nécessaire, les Parties se consultent mutuellement sur des questions d'interprétation ou d'application de cet Accord, à une date et à un lieu convenus par la voie diplomatique.
Article 27
Entrée en vigueur
Cet Accord entre en vigueur le trentième jour après la date de réception par la voie diplomatique de la dernière des notifications écrites de l'accomplissement des procédures internes de chaque Partie requises à cet effet.
Article 28
Amendements
1 - Cet Accord peut être amendé à la demande de l'une ou l'autre Partie.
2 - Les amendements entrent en vigueur conformément à l'article 27 de cet Accord.
Article 29
Durée et dénonciation
1 - Cet Accord restera en vigueur pendant une période initiale de dix (10) ans et puis il sera renouvelé automatiquement par tacite reconduction pour des périodes successives de cinq (5) ans.
2 - Chaque Partie peut dénoncer cet Accord en notifiant à l'autre Partie, par écrit et par la voie diplomatique, son intention de le dénoncer au moins douze (12) mois avant l'expiration de la période en cours.
3 - La dénonciation prend effet le premier jour suivant l'expiration de la période en cours.
4 - En ce qui concerne les investissements réalisés avant la date d'expiration de cet Accord, les dispositions des articles 1 à 26 demeureront en vigueur pour une période de dix (10) ans à compter de cette date.
Article 30
Enregistrement
La Partie sur le territoire de laquelle cet Accord sera signé devra après son entrée en vigueur, le transmettre au secrétariat des Nations Unies aux fins d'enregistrement, conformément à l'article 102 de la Charte des Nations Unies. Elle doit également notifier l'autre Partie de l'accomplissement de cette procédure et de son numéro d'enregistrement.
(1) Dans le cas de la République Portugaise, cela comprend les mesures adoptées, maintenues et appliquées par l'UE.
(2) Pour éviter toute ambiguïté, il est entendu que les Parties considèrent que le terme «mesures» inclut l'omission.
(3) «Pour éviter toute ambiguïté, dans le cas de la République Portugaise, il est entendu que l'expression 'droit interne' inclut 'droit européen'.»
Fait à Abijan, le 13 Juin 2019, en deux exemplaires originaux en langues portugaise, française et anglaise, tous les textes faisant également foi. En cas de divergences d'interprétation, le texte anglais prévaudra.

AGREEMENT BETWEEN THE PORTUGUESE REPUBLIC AND THE REPUBLIC OF CÔTE D'IVOIRE FOR THE RECIPROCAL PROMOTION AND PROTECTION OF INVESTMENTS
The Portuguese Republic and the Republic of Côte d'Ivoire, hereinafter referred to as "the Parties":
Desiring to intensify economic cooperation between the two States;
Intending to create favourable conditions for investments by investors of one Party in the territory of the other Party based on the principles of equality and mutual benefit;
Recognising that the reciprocal promotion and protection of investments under this Agreement will contribute to stimulate of the sustainable economic development in both States;
Reaffirming the international obligations and commitments concerning respect for human rights;
Committed to achieving these objectives in a manner consistent with the protection of health, safety, the environment and the promotion of internationally recognised labour standards:
Have agreed as follows:
CHAPTER I
General provisions
Article 1
Purpose
This Agreement establishes the framework of principles and rules for the reciprocal promotion and protection of investments that the Parties shall provide to the investors as well as to the investments that have been or will be made in the territory of the other Party.
Article 2
Scope
This Agreement shall apply to all investments, whether made before or after its entry into force, by investors of either Party in the territory of the other Party, in accordance with the applicable law of that Party, but shall not apply to any dispute regarding facts that occurred before its entry into force.
Article 3
Definitions
For the purposes of this Agreement:
i) "Investment" shall mean every kind of asset owned or controlled, directly or indirectly, by investors of one Party in the territory of the other Party, in accordance with the law in force in the latter, which has the characteristics of an investment, such as the commitment of capital or other resources, the expectation of gain or profit, or the assumption of risk and includes in particular, though not exclusively:
a) Movable and immovable property, as well as any other rights in rem, such as mortgages, liens and pledges;
b) Shares in and stock and debentures of a company or any other equity securities of a company, as well as any other kind of participation in a company and/or economic interest arising from the respective activity;
c) Claims to money or any other performance having an economic value;
d) Intellectual property rights such as copyrights, patents, utility models, industrial designs, trademarks, trade names, trade and industrial secrets, technical processes, know-how and goodwill;
e) Concessions conferred by law, under contract or by administrative decision issued by a competent public authority, including any concession to search for, extract or exploit natural resources;
f) Assets made available to the lease under a lease contract in the territory of one Party, in accordance with its respective legislation.
Investment does not include public debt issued by one of the Parties or by a public entity of a Party;
Any change in the form in which assets are invested does not affect their character as investments, provided that it has been made in accordance with the legislation of the Party within whose territory the investments are made;
ii) "Investor" shall mean any person of one Party investing in the territory of the other Party, in accordance with its applicable law, who is either;
a) A "natural person" having the nationality of either Party, in accordance with their respective legislation; or
b) A "legal person", an entity with legal personality which has its effective seat in the territory of one Party and is incorporated or constituted under the law in force in that Party, such as commercial companies, corporations, foundations and associations;
iii) "Returns" shall mean the amounts yielded by an investment over a given period, and in particular, though not exclusively, includes profits, dividends, interests, royalties, payments for technical assistance or other types of investment returns, and:
a) In the event of the reinvestment of the investment returns covered by the definition referred above, the returns therefrom are also considered to be returns related to the first investment;
b) The returns from the investment shall enjoy the same protection as the investment;
iv) "Territory" shall mean the territory on which the Parties exercise sovereign rights or jurisdiction, in accordance with international law and their respective national law, including land territory, territorial sea and the air space above them, as well as the maritime areas adjacent to the territorial sea, the seabed and subsoil thereof;
v) "Measure" includes a law, regulation, rule, procedure, decision, administrative action, requirement, or any other form of practice by a Party;
vi) "Prudential reasons" includes ensuring the integrity and stability of the financial system, as well as the maintenance of the safety, soundness, integrity, or financial responsibility of individual financial institutions, and the maintenance of the safety and financial and operational integrity of payment and clearing systems.
Article 4
Promotion and admission of investment
1 - Each Party shall encourage the making of investments by investors of the other Party in its territory and shall admit such investments in accordance with its legislation.
2 - The Parties, within the framework of their domestic law and in relation to investments made by investors of a Party in the territory of the other Party, shall give due consideration to the expeditious treatment of requests to enter and stay in their territories.
Article 5
Protection of investment
1 - Each Party shall accord in its territory to covered investments of the other Party and to investors with respect to their covered investments fair and equitable treatment and full protection and security in accordance with paragraphs 2 through 6.
2 - A Party breaches the obligation of fair and equitable treatment referenced in paragraph 1 where a measure or a series of measures constitutes:
a) Denial of justice in criminal, civil or administrative proceedings; or
b) Fundamental breach of due process, including a fundamental breach of transparency and obstacles to effective access to justice, in judicial and administrative proceedings; or
c) Manifest arbitrariness; or
d) Targeted discrimination on manifestly wrongful grounds, such as gender, race or religious belief; or
e) Harassment, coercion, abuse of power or similar bad faith conduct.
3 - When applying the above fair and equitable treatment obligation, a tribunal may take into account whether a Party made a specific representation to an investor to induce an investment, that created a legitimate expectation, and upon which the investor relied in deciding to make or maintain the investment, but that the Party subsequently frustrated.
4 - For greater certainty, "full protection and security" refers to the Party's obligations relating to physical security of investors and investments.
5 - Neither Party shall in any way impair by unreasonable, arbitrary or discriminatory measures the management, maintenance, use, enjoyment or disposal of investments in its territory of investors of the other Party.
6 - For greater certainty, a breach of another provision of this Agreement, or of any other international agreement, does not constitute a breach of this article.
Article 6
Right to Regulate
1 - Each Party retains the right to adopt, maintain and enforce measures necessary to pursue legitimate policy objectives (1) such as protecting society, the environment and public health, consumer protection, ensuring the integrity and stability of the financial system, promoting public security and safety, and promoting and protecting cultural diversity.
2 - For greater certainty, the mere fact that a Party regulates, including through a modification to its laws, in a manner which negatively affects an investment or interferes with an investor's expectations, including its expectations of profits, does not amount to a breach of an obligation under this Agreement.
3 - Nothing in this Agreement shall prevent a Party from adopting or maintaining reasonable measures for prudential reasons, including:
a) The protection of investors, depositors, policy holders, policy claimants, as well as financial market participants, or persons to whom a fiduciary duty is owed by a financial institution;
b) The maintenance of the safety, soundness, integrity or financial responsibility of financial institutions;
c) Ensuring the integrity and stability of a Party's financial system.
4 - For greater certainty, and subject to Paragraph 5, a Party's decision not to issue, renew or maintain a subsidy:
a) In the absence of any specific commitment under law or contract to issue, renew, or maintain that subsidy; or
b) In accordance with any terms or conditions attached to the issuance, renewal or maintenance of the subsidy,
shall not constitute a breach of the provisions of this Agreement.
5 - A Party shall not be prevented from discontinuing the granting of a subsidy and/or requesting its reimbursement, or required to compensate the investor therefor, where such action has been ordered by one of its competent authorities.
Article 7
National treatment
Neither Party shall in its territory subject the investors of the other Party, as regards the management, enjoyment, use, maintenance and disposal of their investments, to treatment less favourable than that which it accords to its own investors and their investments.
Article 8
Most-favoured-nation treatment
1 - Neither Party shall in its territory subject the investors of the other Party, as regards the management, enjoyment, maintenance, use or disposal of their investments, to treatment less favourable than that which it accords to the investors and their investments of any third State.
2 - For greater certainty, the treatment referred to in Paragraph 1 does not include investorto-state dispute settlement procedures provided for in other international investment treaties and other trade agreements. Substantive obligations in other international investment treaties and other trade agreements do not in themselves constitute "treatment", and thus cannot give rise to a breach of this Article, absent measures (2) adopted by a Party pursuant to such obligations.
Article 9
Exceptions
1 - No provision of this Agreement shall be construed as to prevent a Party from fulfilling its obligations as a member of an economic integration agreement such as a free trade area, customs union, common market, economic community, monetary union, or similar international agreement e. g. the European Union, or as to oblige a Party to extend to the investors of the other Party and to their investments the present or future benefit of any treatment, preference or privilege by virtue of its membership in such an agreement.
2 - The provisions of articles 7 and 8 shall not be construed so as to oblige one Party to extend to the investors of the other Party the benefit of any treatment, preference or privilege which may result from bilateral or multilateral agreements of a regional nature or not, relating to taxation, namely those which aim to avoid double taxation.
3 - The Parties consider that the provisions of this Agreement do not affect the right of either Party to apply the relevant provisions of their tax law which distinguish between taxpayers who are not in the same situation with regard to their place of residence or with regard to the place where their capital is invested.
Article 10
Application of other rules
1 - If the provisions of law of either Party or obligations under international law, contain rules, whether general or specific, entitling investments made by investors of the other Party to a treatment more favourable than that which is covered and provided for by this Agreement, such rules shall prevail.
2 - Each Party shall observe any other obligations undertaken with regard to investments made in its territory by investors of the other Party and which are not included in this Agreement.
Article 11
Expropriation
1 - Investments made by investors of either Party in the territory of the other Party shall not be expropriated, directly or indirectly, nationalised or subjected to any other measure tantamount to expropriation or nationalisation (hereinafter referred to as "expropriation") except for a public purpose, on a non-discriminatory basis, in accordance with the applicable law and against prompt, adequate and effective compensation.
2 - The compensation referred to in the preceding paragraph shall amount to the real value of the expropriated investment immediately before the expropriation or before the impending expropriation became public knowledge, whichever is the earlier, and taking into account the following:
a) The real value corresponds to the market value or other value that shall be determined in accordance with legal or generally accepted valuation principles and methods for the investments in question;
b) The compensation shall include interests at a rate agreed by the investor and the host State or, in the absence of such agreement, at a commercial rate established on a market basis for the currency of payment, from the date of expropriation until the date of the final payment;
c) The compensation provided for in this article shall be made without delay, be effectively realizable and be freely transferable into a convertible currency at the rate of exchange applicable on the date of transfer in the Party within whose territory the investment is made.
3 - Any investor whose investment has been expropriated shall have a right, under the law of the Party making the expropriation, to prompt review, by a judicial or other competent authority of that Party, of his or its case and of the valuation of his or its investment, in accordance with the principles set out in this article.
4 - Except when a measure or series of measures proves to be manifestly excessive, the adoption by a Party of non-discriminatory measures of general application that are designed to protect legitimate public objectives, such as protection of society, the environment and public health, the integrity and stability of the financial system, the promotion of security and safety, and the promotion and protection of cultural diversity, do not constitute indirect expropriation.
Article 12
Compensation for losses
1 - Investors of one Party whose investments suffer losses in the territory of the other Party owing to war or other armed conflict, revolution, a state of national emergency or other similar events under international law, shall be accorded by the latter Party treatment, as regards restitution, compensation, indemnification or other relevant factors, no less favourable than that which the latter Party accords to investments of its own investors or to those of investors of any third State, whichever is more favourable.
2 - Without prejudice to paragraph (1) of this article, investors of one Party who in any of the situations referred to in that paragraph suffer losses in the territory of the other Party resulting from the requisitioning or destruction of their property investments by its authorities, which were not caused in combat action or were not required by the necessity of the situation, shall be accorded by that Party restitution, compensation, indemnification or other forms of reparation on conditions no less favourable than those it accords to its own investors or to the investors of any third State.
3 - The payments provided for in this article shall be freely and without delay transferable into a convertible currency at the rate of exchange applicable on the date of transfer in the Party within whose territory the investment is made.
4 - In the case of the restitution of a movable asset, it should be made within a reasonable period of time at the end of which compensation shall be paid pursuant to the preceding paragraph.
Article 13
Transfers
1 - Each Party shall, subject to its applicable law, guarantee to investors of the other Party the free transfer of payments related to their investments, in particular, though not exclusively:
a) Initial capital and additional amounts necessary to maintain or increase the investments;
b) The returns defined in article 3 (iii) of this Agreement;
c) The amounts necessary for the loan servicing, repayment and amortization considered by both Parties as investments;
d) Proceeds from total or partial liquidation or sale of the investment;
e) Compensation or other payments referred to in articles 11 and 12 of this Agreement;
f) Any initial payments made on behalf of the investor under article 14 of this Agreement;
g) The salaries earned by foreign workers dully authorised to work, in connection with the investment in the territory of the other Party.
2 - The transfers provided for in this article shall be made without delay, into a convertible currency at the rate of exchange applicable on the date of transfer in the Party within whose territory the investment is made.
3 - In the absence of a market for foreign exchange, the rate to be used shall be the most recent exchange rate for conversion of currencies into Special Drawing Rights as defined by the International Monetary Fund.
4 - For the purposes of this article, a transfer shall be deemed to be done "without delay" when it is made within the time limit normally necessary to accomplish the indispensable formalities, but in no case shall it exceed thirty (30) days from the date the transfer request is made.
5 - If the transfer is not made within the time limit specified in the preceding Paragraph, the defaulting Party shall pay interest at the commercial rate in force or, in its absence, the normally applicable rate in the territory of the Party where the investment is made, without prejudice to the right to use the dispute settlement mechanisms established in this Agreement.
6 - Nothing in this article shall be construed to prevent a Party from applying in an equitable and non-discriminatory manner and not in a way that would constitute a disguised restriction on transfers, its:
a) Laws and regulations on:
i) Bankruptcy, insolvency, restructuring, recovery, revitalization or the protection of rights of creditors or workers;
ii) The issuing, trading and dealing in securities, futures, options and derivatives;
iii) Criminal and administrative offences and criminal procedure rules, namely on the freezing of assets or evidences;
iv) Prevention of money laundering or terrorist financing on reports or records of transfer;
v) Reports or records of transfer;
vi) Tax and social security obligations; or
b) Orders, warrants, injunctions or judgements in administrative and adjudicatory proceedings.
Article 14
Subrogation
If one Party or its designated agency makes a payment under an indemnity given in respect of an investment made by one of its investors in the territory of the other Party, it is entitled to exercise such rights and enforce such claims by virtue of subrogation, to the same extent as the original investor.
Article 15
Transparency
1 - Each Party shall promptly publish, or otherwise make publicly available, its laws, regulations, procedures, as well as international agreements which may affect the investors or investments covered by the present Agreement.
2 - Each Party shall promptly respond to specific questions and provide, upon request, information to the other Party on any measures and matters covered by the present Agreement.
3 - No Party shall be required to furnish or allow access to information concerning particular investors or investments the disclosure of which would impede law enforcement or would be contrary to its laws and regulations protecting confidentiality.
Article 16
Measures related to the environment, health and labour rights
The Parties recognize that it is not appropriate to stimulate the investment in their territories by lowering their environmental, health or labour standards.
Article 17
Corporate social responsibility
Each Party shall encourage investors operating in their territory or subject to their jurisdiction to voluntarily incorporate in their activities internationally recognized corporate social responsibility standards, such as the OECD (Organisation for Economic Co-operation and Development) Guidelines for Multinational Enterprises.
CHAPTER II
Dispute settlement
Article 18
Governing law
1 - A tribunal established under this chapter shall decide the dispute in accordance with this Agreement and rules and principles of international law.
2 - The tribunal shall not have jurisdiction to determine the legality of a measure, alleged to constitute a breach of this Agreement, under the domestic law (3) of the disputing Party. For greater certainty, in determining the consistency of a measure with this Agreement, the Tribunal may consider, as appropriate, the domestic law of the disputing Party as a matter of fact. In doing so, the Tribunal shall follow the prevailing interpretation given to the domestic law by the courts or authorities of that Party and any meaning given to domestic law by the Tribunal shall not be binding upon the courts or the authorities of that Party.
SECTION I
Disputes between the Parties
Article 19
Scope and standing
1 - Disputes between the Parties concerning the interpretation and application of this Agreement shall, as far as possible, be settled by negotiations through the diplomatic channel.
2 - If the dispute cannot be settled within six (6) months from the beginning of negotiations, it shall at the request in writing of either Party, through the diplomatic channel, be submitted to an ad hoc Arbitration Tribunal and shall be constituted as follows.
3 - The tribunal shall consist of three (3) arbitrators who shall be appointed as follows:
a) Within two (2) months of the receipt of the written request for arbitration, each Party shall appoint one arbitrator;
b) Within one month of their appointment, these two arbitrators shall jointly select a national of a third State with whom both Parties maintain diplomatic relations who will act as chairman of the tribunal.
4 - If within the periods specified in paragraph (3) of this article the necessary appointments have not been made, either Party may, in the absence of any other agreement, invite the President of the International Court of Justice to make those appointments.
5 - If the President is prevented from carrying out the said function or if he is a national of either Party, the Vice-President of the Court shall be invited to make the necessary appointments.
6 - If the Vice-President is equally prevented from carrying out the said function or if he is a national of either Party, the member of the Court next in seniority who is not prevented from discharging the said function and is not a national of either Party shall be invited to make the necessary appointments.
7 - The tribunal shall determine its own rules of procedure.
8 - The tribunal shall decide by a majority of votes and its decisions shall be final and binding on both Parties.
9 - In case of disagreement as to the meaning and scope of the decision, the tribunal shall interpret it at the request of either Party.
10 - Each Party shall bear the cost of the arbitrator it has appointed and of its representation in the arbitral proceedings.
11 - The cost of the chairman and the remaining costs shall be borne in equal parts by both Parties.
12 - The tribunal may decide on a different distribution of the costs.
SECTION II
Disputes between a Party and an investor of the other Party
Article 20
Means of settlement
1 - Any dispute which may arise between an investor of one Party and the other Party concerning an investment made by the former in the territory of the latter shall, as far as possible, be settled amicably.
2 - If such dispute cannot be settled in accordance with paragraph (1) of this article within a period of six (6) months from the beginning of the negotiations, the investor may submit the dispute to:
a) The national courts of the Party in whose territory the investment was made;
b) The International Centre for the Settlement of Investment Disputes (ICSID) for the settlement by conciliation or arbitration under the Convention on the Settlement of Investments Disputes between States and Nationals of other States, opened for signature at Washington DC on 18 March 1965 (ICSID Convention), if the Parties to the present Agreement are both Parties to the ICSID Convention;
c) The ICSID under the rules governing the Additional Facility for the Administration of Proceedings by the Secretariat of the ICSID, if a Party to the present Agreement, but not both, is Party to the ICSID Convention;
d) An ad hoc arbitration tribunal appointed by a special agreement between the Parties or established under the Arbitration Rules of the United Nations Commission on International Trade Law (UNCITRAL), where the appointment of the arbitrator that will act as chairman tribunal will, in case of disagreement by the parties, be appointed by the Secretary-General of the Permanent Court of Arbitration;
e) A sole arbitrator or an ad hoc arbitration tribunal under the rules of arbitration of the International Chamber of Commerce; or
f) Any other arbitration institution, or in accordance with any other arbitration rules, provided that the State which is a Party to the dispute expressly consents to it.
3 - A dispute may be submitted no later than five (5) years from the date the investor first acquired or should have acquired knowledge of the events which gave rise to the dispute.
4 - Each Party hereby gives its consent to the submission of a dispute to international arbitration referred to in paragraph (2) of this article, notwithstanding subparagraphs d) and f).
5 - There is no presumption of consent in what refers to the consolidation of claims in case of plurality of claimants.
6 - Without prejudice to paragraph (7), the decision to submit the dispute to any of the procedures referred to in paragraph (2) precludes the possibility to submit the claim through another means of settlement provided in that paragraph.
7 - Whenever the investor chooses to resolve the dispute through the national courts of the Party where the investment is made, and if no final decision has been rendered on the merits of the case, the investor may choose to put an end to the national proceedings and submit the dispute to any form of international arbitration referred to in paragraph (2) of this article by notifying the national court of this decision.
8 - The submission of the dispute to any form of international arbitration pursuant to paragraph (7) shall be made within two (2) years after the investor ceases to pursue the claim before the national courts and, in any event, no later than ten (10) years after the date on which the investor first acquired or should have acquired knowledge of the events which gave rise to the dispute.
9 - The State which is a party to the dispute shall not raise as an objection at any stage of the proceedings the fact that the investor has received in pursuance of an insurance contract an indemnity in respect of some or all of his losses.
10 - For greater certainty, an investor may not submit a claim to arbitration under this article where the investment has been made through fraudulent misrepresentation, concealment, corruption, or conduct amounting to an abuse of process.
11 - The State which is a party to the dispute may invoke lis pendens, which the court or the tribunal shall take into account.
12 - The UNCITRAL Rules on Transparency in Treaty-based Investor-State Arbitration shall apply to any international arbitration proceedings initiated under this article.
13 - The tribunal shall condemn the claimant to the payment of costs deemed justified in case of determination by the tribunal that the claim was frivolous.
Article 21
Place of arbitration
1 - Any arbitration under this section shall, at the request of any party to the dispute, be held in a State that is party to the Convention on the Recognition and Enforcement of Foreign Arbitral Awards signed in New York on 10 June 1958.
2 - Claims submitted to arbitration under this section shall be considered to arise out of a commercial relationship or transaction for purposes of article 1 of the New York Convention.
Article 22
Qualifications of the arbitrators
Arbitrators appointed pursuant to this section shall have expertise or experience in public international law, preferably in international investment law. It is desirable that they have expertise or experience in resolution of disputes arising under international investment agreements.
Article 23
Principles, duties and conduct rules
1 - Arbitrators and their staff and assistants shall be independent of, and not be affiliated with or take instructions from the claimant or the Host state or the government of a Party with regard to investment matters. Arbitrators shall not take instructions from any organization, government or disputing Party with regard to matters related to the dispute. They shall not participate in the consideration of any disputes that would create a direct or indirect conflict of interest. In so doing they shall comply with the International Bar Association Guidelines on Conflicts of Interest in International Arbitration.
2 - If a disputing party considers that an arbitrator has conflict of interest, it shall send a notice of challenge to the Secretary-General of the Permanent Court of Arbitration. The notice of challenge shall be sent within 15 days of the date the tribunal is fully constituted or the date on which the relevant facts came to its knowledge, if they could not have reasonably been known at the time of composition of the tribunal. The notice of challenge shall state the grounds for the challenge.
3 - The decision on any proposal to disqualify an arbitrator shall be taken within 45 days of receipt of the notice of challenge, provided that both disputing parties and the Arbitrator were given an opportunity to submit any observations.
4 - A vacancy resulting from the disqualification or resignation of an arbitrator shall be filled promptly.
Article 24
Awards and enforcement
1 - The awards shall be binding, but they may be subject to appeal or any other review procedure solely as provided by law and the applicable rules.
2 - Once the proceedings have ended and in case of non-compliance with the award, the Parties may exceptionally pursue through the diplomatic channel the dispute in order to ensure that the said award is enforced.
3 - Each Party shall provide, in its territory, for the effective enforcement of the arbitration awards.
Article 25
Multilateral dispute settlement mechanisms
1 - Upon the entry into force of an international agreement providing for a multilateral investment tribunal and/or a multilateral appellate mechanism applicable to disputes under this Agreement, the relevant parts of this Agreement shall cease to apply subject to the agreement of both Parties.
2 - Notwithstanding the preceding paragraph, investors may submit the dispute to the competent national courts of the Party in whose territory the investment was made.
3 - The new rules of the multilateral dispute settlement mechanism as set out in the first paragraph shall not be applicable to disputes already submitted pursuant to article 19 (2), unless agreed otherwise by the disputing Parties.
CHAPTER III
Final provisions
Article 26
Consultations
The Parties shall whenever necessary consult each other over issues of interpretation and application of this Agreement, on a date and at a place to be agreed upon through the diplomatic channel.
Article 27
Entry into force
This Agreement shall enter into force on the thirtieth day following the date of receipt of the later of the notifications in writing through the diplomatic channel, conveying the completion of the internal procedures of each Party required for that purpose.
Article 28
Amendments
1 - This Agreement may be amended at the request of either Party.
2 - The amendments shall enter into force in accordance with article 27 of this Agreement.
Article 29
Duration and termination
1 - This Agreement shall remain in force for an initial term of ten (10) years and shall be automatically renewed for successive periods of five (5) years.
2 - Either Party may terminate this Agreement by giving written notice through the diplomatic channel of its intention to do so at least twelve (12) months prior to the end of the current term.
2 - The termination shall become effective on the first day following the expiry of the current term.
3 - The provisions of articles 1 to 26 shall continue in effect with respect to investments made before the date of termination of this Agreement for a period of ten years after the date of termination.
Article 30
Registration
Upon the entry into force of this Agreement, the Party in whose territory it is signed shall transmit it to the Secretariat of the United Nations for registration, in accordance with article 102 of the Charter of the United Nations, and shall notify the other Party of the completion of this procedure as well as of its registration number.
(1) In the case of the Portuguese Republic, it includes measures adopted, maintained and enforced by the EU.
(2) For greater certainty, the Parties understand that the term "measures" includes failures to act.
(3) "For greater certainty, for the Portuguese Republic, the term 'domestic law' includes 'european law'."
Done in duplicate at Abijan, on 13th June 2019, in the portuguese, french and english languages, all texts being equally authentic. In case of any difference in interpretation, the english text shall prevail.
